1.1. Orbita AI Collective provides marketing, advertising, branding, and consultancy services as agreed upon in contracts or written agreements with clients ("you").
1.2. All deliverables, timelines, and project scopes are subject to mutual agreement and detailed in specific project briefs or proposals.

2. Client Responsibilities

2.1. You agree to provide accurate and timely information, approvals, and materials necessary for the execution of the agreed services.
2.2. Delays or errors caused by the client’s failure to meet these responsibilities may result in project delays or additional fees.

3. Fees and Payments

3.1. All fees are detailed in written agreements or invoices. Payments are non-refundable unless otherwise agreed in writing.
3.2. Payments must be made in Argentine pesos (ARS) or in the currency specified in the agreement, via bank transfer or other authorized methods.
3.3. Late payments may incur interest of 2% per month, and we reserve the right to suspend services until full payment is received.

4. Intellectual Property

4.1. Ownership of intellectual property created by Orbita AI Collective remains with us until full payment is received.
4.2. Upon payment, ownership of deliverables is transferred to the client, except for proprietary tools, methods, or templates used in the creation process, which remain our intellectual property.
4.3. We reserve the right to use completed work in our portfolio unless explicitly restricted by a written confidentiality agreement.

5. Confidentiality

5.1. Both parties agree to maintain the confidentiality of sensitive business information shared during the course of collaboration.
5.2. This confidentiality clause remains in effect for two years after the conclusion of the service agreement.

6. Limitation of Liability

6.1. Orbita AI Collective is not liable for indirect, incidental, or consequential damages arising from the use of our services.
6.2. Our total liability for any claim is limited to the amount paid by the client for the specific service under dispute.

7. Termination

7.1. Either party may terminate the agreement with 30 days’ written notice.
7.2. Upon termination, the client is responsible for payment for all completed work and incurred expenses up to the termination date.

8. Governing Law and Dispute Resolution

8.1. These Terms are governed by the laws of the Argentine Republic.
8.2. Any dispute will be resolved amicably between the parties. If no resolution is reached, the matter will be referred to the courts of [insert applicable jurisdiction in Argentina].

9. Force Majeure

9.1. We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, strikes, or government restrictions.
